3. Eligibility and Account Registration

You represent that:

  • You are at least 18 years old
  • You have legal capacity to enter into this Agreement
  • All registration information is accurate and current
  • You are not prohibited from using the Services under applicable law

3.2 Account Creation

To access the Services, you must:

  1. Create an Account with accurate information
  2. Maintain secure login credentials
  3. Provide accurate onboarding preferences
  4. Notify ESTEL of any unauthorized access

3.3 Account Responsibility

You are solely responsible for:

  • All activity conducted under your Account
  • Maintaining confidentiality of credentials
  • Any unauthorized use resulting from your failure to secure access

4. Service Description and Limitations

4.1 Services Overview

ESTEL provides an AI-powered platform that:

  • Identifies and verifies staffing demand
  • Ranks and matches leads based on user preferences
  • Provides decision-maker contact data
  • Generates AI-assisted outreach content
  • Delivers market intelligence and analytics

4.2 Important Limitations

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. ESTEL does not guarantee:

  • Accuracy or completeness of lead data
  • Existence of genuine hiring intent
  • Business outcomes, conversions, or ROI
  • Specific performance or uptime levels

4.3 User Responsibility

You are responsible for:

  • Verifying lead accuracy and relevance
  • Ensuring outreach compliance with applicable laws
  • Reviewing and customizing AI-generated content
  • Conducting independent due diligence

4.4 No Guarantees

ESTEL makes no guarantees regarding:

  • Lead quality or volume
  • Response or conversion rates
  • AI content suitability without review

4.5 Service Availability (SLA)

Services are hosted on AWS EU infrastructure.

Target uptime: 99.95%
Exclusions: Scheduled maintenance, force majeure, misuse of Services

5. User Obligations and Prohibited Activities

5.1 Permitted Use

You may use the Services only for lawful purposes and in compliance with these Terms.

5.2 Prohibited Activities

You may not use the Services to:

Illegal or Harmful Conduct

  • Violate laws or regulations
  • Harass, threaten, or defame others
  • Infringe intellectual property rights

Spam and Abuse

  • Send unsolicited bulk messages
  • Engage in phishing or fraud
  • Impersonate individuals or entities
  • Circumvent system limits

Security Violations

  • Access unauthorized data
  • Reverse-engineer the platform
  • Inject malware or malicious code
  • Scrape data without permission

Compliance Violations

  • Breach GDPR, CCPA, CAN-SPAM, or similar laws
  • Use data unlawfully or discriminatorily

5.3 Consequences

Violations may result in:

  • Immediate suspension or termination
  • Legal action
  • Cooperation with authorities

6. Intellectual Property Rights

6.1 ESTEL Property

All intellectual property in the Services, including software, algorithms, AI models, branding, and databases, belongs exclusively to ESTEL.

6.2 License Grant

You are granted a limited, non-exclusive, revocable license to use the Services for lawful business or personal purposes.

You may not:

  • Resell or sublicense the Services
  • Reverse-engineer or copy the platform
  • Use the Services to build competing products

6.3 User Content

You retain ownership of content you provide. You grant ESTEL a license to process and use such content to deliver and improve the Services.

6.4 AI-Generated Content

You may use and customize AI-generated content. ESTEL retains ownership of underlying AI systems. Raw AI outputs may not be resold without modification.

7. Data Ownership and Usage

7.1 ESTEL Ownership

ESTEL retains ownership of:

  • Lead and buyer data
  • Market intelligence
  • Scoring and analytics systems

7.2 User Rights

You may:

  • Access lead data during your subscription
  • Use data for lawful outreach
  • Export data as permitted by your plan

7.3 Restrictions

You may not:

  • Resell or redistribute lead data
  • Use data outside the Services
  • Violate privacy or data protection laws

7.4 Data Protection Obligations

You agree to:

  • Comply with GDPR, CCPA, and applicable laws
  • Honor opt-out and data subject rights
  • Secure all personal data received

8. Limitation of Liability

8.1 Disclaimer

To the maximum extent permitted by law, ESTEL disclaims all warranties, express or implied.

8.2 Limitation

ESTEL is not liable for:

  • Lost revenue or profits
  • Business interruption
  • Indirect or consequential damages

Liability cap: Fees paid in the preceding 12 months or €100, whichever is greater.

8.3 Essential Basis

These limitations form an essential basis of the Agreement.

9. Indemnification

You agree to indemnify and hold harmless ESTEL from claims arising from:

  • Your misuse of the Services
  • Legal or regulatory violations
  • Outreach activities and communications
  • Data protection breaches

10. Compliance Responsibility

You are solely responsible for:

  • Marketing law compliance
  • Data protection obligations
  • Providing lawful unsubscribe mechanisms

11. Subscription, Billing, and Payment

11.1 Subscriptions

ESTEL offers tiered subscription plans with varying features.

11.2 Billing

  • Automatic renewal unless cancelled
  • Fees billed monthly or annually
  • No refunds except where legally required

11.3 Cancellation

You may cancel at any time. Cancellation is effective at the end of the billing period.

12. Termination

12.1 Termination by ESTEL

ESTEL may suspend or terminate access for:

  • Terms violations
  • Legal or compliance risk
  • Abuse or misuse

12.2 Effect of Termination

Upon termination:

  • Access ends immediately
  • Data handled per retention policy
  • Certain provisions survive termination

13. Changes to Terms and Services

We may update these Terms with notice. Continued use constitutes acceptance.

14. Dispute Resolution and Governing Law

14.1 Governing Law

Bulgarian law governs these Terms, supplemented by GDPR where applicable.

14.2 Arbitration

Disputes are resolved through binding arbitration in Sofia, Bulgaria, except where prohibited by law.

14.3 Class Action Waiver

Claims must be brought individually.

15. Limitation Period

Claims must be filed within one (1) year from accrual.

16. Severability

Invalid provisions will be severed; remaining provisions remain in force.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement.

18. Assignment

ESTEL may assign these Terms. Users may not assign without consent.
